Business Entity Mistakes – Criminal Conduct And Independence
In this age of knowledge, most small business owners perceive they need the protection provided by an organization or restricted liability company. Such protection, however, can be lost though certain actions.
Criminal Action
Creating a business entity solely protects a business and shareholders from civil liability. Civil liability arises from a body of state and federal law that permits for compensation for alleged wrongs. These wrongs will arise in the shape of negligence, contractual breach and so on. If an entity is found civilly liable, it must pay compensation, however no jail time is involved.
Neither a corporation, restricted liability company nor any alternative entity can shield anyone from criminal liability. Claims to the contrary printed on various net sites are merely wrong. A person forming an organization to front for a ponzi scheme or scam to defraud consumers is going to receive no protection from criminal prosecution. If you have any doubts on this issue, simply take into account the recent criminal convictions of the Tyco and Enron executives.
Standing Apart
Both companies and limited liability firms are thought-about to “stand apart” from their investors for legal purposes. In essence, each entities are considered to be “persons” underneath the law. This legal fiction is, of course, what offers rise to the asset protection part of both entities. Sadly, many little businesses don’t perceive this distinction and lose the asset protection when the foremost need it.
To take care of the asset protection edges of a business entity, you want to treat it as an independent party. For example, you do not “own” a corporation. Such statements can come back back to haunt you when a plaintiff’s attorney presents them in court whereas arguing the entity is a sham. To avoid this drawback, you’ll be able to simply say you’re the President of the business entity or whatever position you hold.
In Closing
Forming a business entity could be a necessary step for most little businesses. Once the entity is made, build positive you follow the necessary formal procedures to maintain asset protection.
